Ownership of any custom deliverables produced as part of an engagement will be addressed in the applicable engagement agreement. Unless otherwise agreed in writing, we retain ownership of our proprietary tools, methods, and pre existing materials used to provide the services.

You may have the opportunity to submit content to us, such as messages, feedback, project requirements, or other materials. By submitting content to us, you grant us a non exclusive, worldwide, royalty free license to use, store, and process that content for the purpose of providing our services to you.

You represent and warrant that you own or have the necessary rights to any content you submit and that the content does not infringe the rights of any third party. You are solely responsible for the content you submit and for the consequences of submitting it.

We do not claim ownership of your content, but you grant us the limited rights described above so that we may perform the services you request. We will handle your content in accordance with our Privacy Policy.

Fees and Payment

The fees for our services will be set out in the applicable proposal, statement of work, or engagement agreement. Unless otherwise stated, all fees are quoted in United States dollars and are exclusive of applicable taxes.

Payment terms, including invoicing schedule and due dates, will be specified in the engagement agreement. Late payments may be subject to interest or suspension of services in accordance with the terms of the agreement or applicable law.

Our engagement tiers are generally described as a Starter Engagement, a Growth Engagement, and a Partnership Engagement. The specific scope and fee for each tier is provided on the pricing section of our website and confirmed in writing before work begins.

You are responsible for providing complete and accurate billing information and for paying all fees when due. If any payment is disputed, you agree to notify us promptly so that we may attempt to resolve the matter in good faith.

Confidentiality

During the course of an engagement, each party may disclose confidential information to the other. Confidential information includes non public business, technical, and financial information that is designated as confidential or that reasonably should be understood to be confidential.

Each party agrees to hold the other confidential information in confidence and to use it only for the purpose of performing under the engagement. Neither party will disclose the other confidential information to any third party without the disclosing party prior written consent.

Confidentiality obligations do not apply to information that is or becomes publicly available without breach, that is independently developed, that is lawfully received from a third party, or that is required to be disclosed by law or court order.

Warranties and Disclaimers

Indemnification

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah and the laws of the United States, without regard to any conflict of law principles that would result in the application of another jurisdiction laws.

You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of those courts.

This governing law provision applies to the fullest extent permitted by law. If any court holds that any provision of these Terms is invalid, the remaining provisions will continue in full force and effect.

Dispute Resolution

We value our relationship with you and prefer to resolve any dispute informally. Before initiating any formal legal action, you agree to contact us at direct@algenaura.lol and attempt to resolve the dispute through good faith negotiation for a period of at least thirty days.

If a dispute cannot be resolved through informal negotiation, the parties may pursue the remedies available under the governing law section above. Each party will bear its own costs in connection with any dispute unless a court or tribunal orders otherwise.

You agree that any claim arising out of these Terms must be filed within one year after the cause of action accrues, otherwise the claim is permanently barred, to the extent permitted by applicable law.

Changes to These Terms

We reserve the right to modify or replace these Terms of Service at any time. When we make changes, we will update the effective date at the top of this page and post the revised Terms on the website.

It is your responsibility to review these Terms periodically for changes. Your continued use of the website or the services after any changes take effect constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable engagement agreement, constitute the entire agreement between you and Algen Aura LLC regarding your use of the website and the services, and supersede all prior and contemporaneous understandings and agreements, whether written or oral.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

The section headings in these Terms are for convenience only and have no legal or contractual effect. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between the parties.
